1. Agreement to Terms

By accessing or using Virdro, a digital waiver signing platform operated by Imperia Teknoloji ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the service.

2. Description of Service

Virdro provides a Software-as-a-Service (SaaS) platform that enables businesses to create, manage, and collect digital waiver signatures from their customers. Our service includes:

• Digital waiver template creation and management
• QR code generation for customer access
• Digital signature collection and PDF generation
• Customer data management and CRM features
• Integration with third-party services (e.g., Mailchimp)
• Data export capabilities

3. User Accounts

3.1 Registration

To use our service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding agreements to use our service. By using our service, you represent and warrant that you meet these requirements.

4. Acceptable Use

You agree not to use our service:

• For any illegal or unauthorized purpose
• To violate any laws or regulations
• To transmit any harmful, offensive, or inappropriate content
• To interfere with or disrupt the service or servers

5. Subscription and Payment

5.1 Subscription Plans

Virdro offers subscription-based plans. Subscription fees are billed monthly in advance. Prices are subject to change with 30 days' notice.

5.2 Payment Terms

Payment is processed through secure third-party payment processors. You authorize us to charge your payment method for all applicable fees. All fees are non-refundable except as required by law or as specified in our refund policy.

5.3 Cancellation

You may cancel your subscription at any time from your dashboard. Cancellation takes effect at the end of the current billing period. You will continue to have access to the service until the end of your paid period.

6. Intellectual Property

The Virdro service, including all content, features, and functionality, is owned by Imperia Teknoloji and protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of any content you create or upload through the service (e.g., waiver templates). By using the service, you grant us a worldwide, non-exclusive license to use, store, and process your content solely for the purpose of providing the service.

7. Digital Signatures and Legal Compliance

Virdro is designed to comply with the Electronic Signatures in Global and National Commerce Act (ESIGN Act) and the Uniform Electronic Transactions Act (UETA). However, the legal enforceability of digital signatures may vary by jurisdiction.

You are solely responsible for:

• Ensuring that your waiver templates comply with applicable laws
• Obtaining necessary legal counsel regarding your waiver requirements
• Verifying the enforceability of digital signatures in your jurisdiction
• Maintaining appropriate records and documentation

8. Disclaimers and Limitations of Liability

8.1 Service Disclaimer

The service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the service will be uninterrupted, error-free, or secure.

8.2 Limitation of Liability

To the maximum extent permitted by law, Imperia Teknoloji shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the service.

9. Indemnification

You agree to indemnify, defend, and hold harmless Imperia Teknoloji and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses arising from:

• Your use of the service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you create or upload through the service

10. Data and Privacy

Your use of the service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

11. Termination

We reserve the right to suspend or terminate your account and access to the service at any time, with or without cause or notice, for any reason, including if you breach these Terms. Upon termination, your right to use the service will immediately cease.

We may delete your account and data after a reasonable period following termination, subject to legal retention requirements. You are responsible for exporting your data before termination.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the service after such changes constitutes acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Turkey, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the service shall be subject to the exclusive jurisdiction of the courts of Kütahya, Turkey.
